Terms of Service

1. Acceptance of terms
These Terms of Service ("Terms") are a binding agreement between you (the "Subscriber" or "you") and Revive Leads ("Revive Leads", "we", "us", or "our"). By creating an account, accessing, or using the Revive Leads platform (the "Service"), you agree to these Terms and to our Privacy Policy. If you are agreeing on behalf of a company, you represent that you have authority to bind that company.
2. Description of service
Revive Leads is an AI-powered lead response platform that monitors inbound email, SMS, and chat messages on behalf of subscribing businesses and sends automated replies, drafts, and notifications. The Service may also score leads, suggest next actions, and route conversations into the Subscriber's dashboard. Features and integrations may change over time as the Service evolves.
3. Subscriber responsibilities
You agree to:
- Provide accurate, current, and complete business information.
- Keep your account credentials confidential and secure.
- Comply with all applicable laws and regulations, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM, and any state-level marketing or privacy laws that apply to your business.
- Obtain all consents required by law from your leads before routing them through the Service, and maintain records of those consents.
- Honor opt-out requests promptly and configure the Service so that opt-outs received through Revive Leads are respected.
4. SMS compliance
You acknowledge and agree that you — not Revive Leads — are responsible for ensuring that every lead you message through the Service has provided the consent required under applicable law to receive SMS messages from your business. You will not use the Service to send messages that are unlawful, deceptive, harassing, or that contain prohibited content under TCPA, CTIA guidelines, or carrier policies. Revive Leads may suspend or terminate accounts that send messages we reasonably believe violate these requirements.
5. Acceptable use
You will not, and will not attempt to:
- Use the Service to send spam, unsolicited marketing, or messages that violate any law.
- Send messages containing material that infringes intellectual property, violates privacy, or contains malware, fraud, hate speech, sexually explicit content, or other prohibited categories under carrier policies.
- Reverse engineer, decompile, scrape, or otherwise attempt to derive the source of the Service or its underlying models.
- Use the Service to build a competing product or to train another AI system on data generated through the Service.
- Interfere with, disrupt, or attempt to gain unauthorized access to the Service.
6. Billing and cancellation
Subscriptions are billed in advance on a recurring basis through Stripe according to the plan you select. By providing payment information, you authorize us (and Stripe) to charge the applicable fees and any taxes. You may cancel your subscription at any time from the Billing section of your account; cancellation takes effect at the end of your current billing period. Fees already paid for the current billing period are non-refundable, except where required by law. Failed payments may result in suspension of the Service.
Your Revive Leads subscription fee covers access to the Revive Leads platform only and does not include any third-party service costs, which are billed directly by those providers.
7. Third-Party Service Charges
Revive Leads integrates with third-party service providers including but not limited to Twilio (SMS and voice), OpenAI (AI response generation), and other communication or technology platforms. Any charges incurred through these third-party providers are the sole responsibility of the Subscriber and are billed directly by those providers, not by Revive Leads.
This includes, but is not limited to:
- SMS and voice messaging fees charged by Twilio
- AI usage and API fees charged by OpenAI
- Any other usage-based fees from third-party services you connect through the Revive Leads platform
You are responsible for maintaining active accounts in good standing with these third-party providers and for ensuring sufficient funds or credits are available to support the services you connect through the Revive Leads platform. Revive Leads will not be held responsible for service interruptions caused by insufficient funds or account issues with third-party providers.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REVIVE LEADS AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
9. Indemnification
You agree to defend, indemnify, and hold harmless Revive Leads, its affiliates, and their respective officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any law or third-party right, including TCPA, CAN-SPAM, and privacy laws; or (d) content or contact data you submit, transmit, or receive through the Service.
10. Governing law
These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-laws principles. The exclusive venue for any dispute arising out of or relating to these Terms or the Service will be the state or federal courts located in Texas, and you consent to the personal jurisdiction of those courts.
11. Changes to these terms
We may update these Terms from time to time. If we make material changes, we will notify you through the Service or by email. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
